合同的通用条款在不同的书籍中定义也不尽相同，笔者以为过于拘泥于其概念则意义不大。实际上，只要我们知道常见的合同条款哪些属于通用条款就可以了。英文合同较之中文合同，一个重要的特点就是更为严谨，这也导致了不同类型的英文合同在结构上会有相似之处，甚至连结构的排列顺序都差不多。

一、何谓英文合同的通用条款

合同的通用条款在不同的书籍中定义也不尽相同，笔者以为过于拘泥于其概念则意义不大。实际上，只要我们知道常见的合同条款哪些属于通用条款就可以了。英文合同较之中文合同，一个重要的特点就是更为严谨，这也导致了不同类型的英文合同在结构上会有相似之处，甚至连结构的排列顺序都差不多。通用条款在任何一个专业的英文合同中是一定会出现的，实践中英文合同常见的通用条款包括：定义/解释条款、协议的完整性与可分割性、违约（责任）条款、声明与保证条款、保密条款、智力成果（知识产权）条款、债权债务的转让条款、赔偿（补偿）条款、税务条款、合同的有效期限与终止条款、保险条款、不可抗力条款、合同的管辖与争议解决条款等。不同的合同中，这些条款的顺序虽有差异，但是万变不离其宗，都是各种英文合同内容中的“常客”。

通用条款一般喜欢采用复杂的句式及比较晦涩的用语，不少律师虽然能够看懂其大意，但是要准确翻译就显得困难了。由于通用条款往往包括合同当事人双方的基本权利义务，因此，准确理解和翻译通用条款对于处理合同事项，尤其是合同的争议至关重要。下面，笔者将根据不同通用条款的特点，结合笔者的一些具体的翻译方法，对英文合同的通用条款的翻译方法进行分门别类的介绍。

二、定义与解释条款/Definition and Interpretation的翻译

不少中文合同往往不存在定义与解释条款，但是英文合同就不一样了。或许继承了古代英国人的刻板与认真，任何一个英文合同都会不惜篇幅地对合同的定义或解释条款加以详细列举，其目的就是为了最大限度地避免争议，也为了显示合同起草者的专业与细致。

定义与解释条款实际上区分为定义条款与解释条款，定义条款的典型格式有下面三种：

1.Definition. In this Agreement, the following terms shall have the following meaning unless the context clearly requires otherwise:

2. Interpretation. Unless the context otherwise requires:

a. words singular and plural in number shall be deemed to include the other;

b. all references to include a reference to any measures amending, supplementing or repealing any relevant from time to time;

c. the terms “XYZ” shall be being at all times construed as unless the content specially indicates otherwise, whether or not the words “XYZ” are expressly stated in any particular instance in this Agreement;

….

3. XXX Meaning. Words not otherwise defined herein that have well known and generally accepted adj. meanings are used herein in accordance with such recognized meanings. Unless otherwise agreed to by the Parties, all units of measurement shall be stated in the system.

大家以后只要在英文合同中看见类似结构的句子，第一反应就应该是马上将其与合同的定义与解释条款联系起来。那么，定义与解释条款该如何翻译呢？下面举例说明。

Definition. In this Agreement the following terms shall have the following meaning unless the context clearly requires otherwise:

Definition的意思就是“定义”，在英文合同中只要这位老兄一出现，八成下面就是讲对合同各种术语的含义界定问题了。“shall”在英文合同中最常见的情态动词之一，该词在口语中并如“should”那么常见，但是在英文合同里却颠倒了过来。在合同中shall在大多数情况下表示强制性承担法律或合同所规定的义务，这时它主要表示“指示性”、“施为性”含义和行使权利的“义务”和“责任”。在少数情况下，该词就是一种习惯性的用法，可以不作翻译。在这里，“shall”可以翻译为“应”。“unless the context clearly requires otherwise”在英文合同的Definition and Interpretation部分中，是一个比较常见的固定用法，意思就是“除非上下文明显另有所指外”，值得注意的是，otherwise并不是最常见的“否则”之意，而是“另外”之意，在英文合同里，otherwise更多的含义是指后者。因此，整句话可以翻译为“ 定义。本协议中，除非上下文明显另有所指外，下列术语应指为如下含义：”。

“Accounts Agreement” means the Accounts Agreement to be entered into among ABC INC., the Concessionaire and the Accounts Bank on or before the Commencement Date, as amended from time to time.

本句出现的“…..means……”是定义与解释条款中常见的句式。后面的一大串句子可以拆分翻译，“the Accounts Agreement to be entered into among ABC INC., the Concessionaire and the Accounts Bank”，“to be”后面是对该“Accounts Agreement”的限定修饰，就是说该账户协议是在谁与谁之间订立的，而“to be”是指一种将来的状态。“on or before the Commencement Date”是常见用法，意为“于生效日当日或者之前”。而“as amended from time to time”亦是英文合同中常见，from time to time在英文合同中要翻译成“不时”，因此整句话可以翻译成：“账户协议”指的是即将由ABC股份有限公司，特许权持有人（或受让人）及“开户行”于生效日或之前签署的“账户协议”，该账户协议包括随时可能对其原文所做的修订。

For the purpose of this Agreement, “Affiliate” means any Person which, directly or indirectly, is in control of, is controlled by, or is under common control with, another Person. For the purposes of this definition, “control” of a Person means the power, directly or indirectly, either to (i) vote ten percent (10%) or more of the shares having ordinary voting power for the election of directions of such Person, or (ii) direct or cause the direction of the management and policies of such Person, whether by contract or otherwise.

Affiliate有不少意思，它可以指附属公司或子公司或是分支机构，结合下文的“is in control of, is controlled by, or is under common control with, another Person.”此处将它翻译成关联公司是最为恰当的。本句整体上可以翻译为“基于本合同，'关联公司'是指被另一家公司直接或间接地，单独或与他人共同控制的法人（有些书中将person翻译为公司，不准确）；基于该定义（在法律英语中，for the purpose of 不是指'为了什么目的'，而是指'基于'），对于一家公司的'控制'是指此种权力，即直接或间接地（i）以10%或以上的普通表决权投票选举此种法人的董事，或者（ii）通过合同方式或者以其他方式，引起此种法人的经营管理及其政策或规定其方向。”
